SUBJECT:
AMENDMENT NO. 2 TO AGREEMENT NO. A2020-094 WITH CINTAS CORPORATION NO. 2 FOR UNIFORM RENTAL AND FACILITY SERVICES
RECOMMENDATION:
Authorize the execution of Amendment No. 2 to Agreement No. A2020-094 with Cintas Corporation No. 2, increasing the total annual not-to-exceed amount from $16,500 to $40,000 and increasing the total contract compensation not-to-exceed amount from $82,500 to $200,000.
BACKGROUND/ANALYSIS:
As part of the City’s responsibility to provide uniform services to field staff, Public Works utilizes the services of a uniform rental services company. On June 23, 2020, the City Council approved Agreement No. A2020-094 with Cintas Corporation No. 2 (Cintas) with an annual not-to-exceed amount of $15,000 and a total contract compensation not-to-exceed amount of $75,000. In February 2021, Amendment No.1 to Agreement No. A2020-094 was executed by the City Manager, increasing the total annual not-to-exceed amount from $15,000 to $16,500 and the total contract compensation not-to-exceed amount from $75,000 to $82,500.  
 
When the original contract was established, staff projected the number of participating staff members based on the active participation inventory from the previous vendor. As the previous vendor was unable to provide services that met the City’s full needs, staff participation was low which made for an inaccurate projection of costs. Participation with the current uniform rental services program has now been quantified, and staff is projecting insufficient contract authority to fulfill this service responsibility for all participating field staff.

Staff is requesting an amendment to increase Agreement No. A2020-094 for an annual not-to-exceed amount of $40,000 and a total contract compensation not-to-exceed amount of $200,000.
ENVIRONMENTAL (CEQA) REVIEW:
This proposed action is exempt from review under the California Environmental Quality Act (California Public Resources Code §§ 21000, et seq., "CEQA") and CEQA Guidelines (Title 14 California Code of Regulations §§ 15000, et seq.) because it does not involve any commitment to a specific project which could result in a potentially significant physical impact on the environment; and, constitutes an organizational or administrative activity that will not result in direct or indirect physical changes in the environment. Accordingly, this action does not constitute a "project" that requires environmental review (see specifically 14 CCR § 15378(b)(4-5)).
 
FISCAL IMPACT:
The agreement is not a commitment to spend; rather a commitment to pricing up to a limited amount, dependent on the operating needs of the City. There is funding in various Public Works operating budgets to cover the Fiscal Year 2020-21 cost of the Cintas agreement.  However, with increased staff participation, future budget adjustments may be necessary to accommodate for the increase in overall rental quantities. Future agreement costs will be budgeted for in the appropriate fiscal year.
